Supply of Service Agreement

This Supply of Service Agreement ("Agreement") is made between Capstone Operations Limited ("Service Provider" or "Company") and our Clients (the "Client"), collectively referred to as the "Parties". This Agreement outlines the provision of services by the Service Provider to the Client and defines the rights and obligations of both Parties.

Services Provided

The Service Provider agrees to deliver some or all of the following services to the Client, as agreed upon in the relevant agreement or scope of work:

Software Development:

This includes the design, development, testing, and deployment of customised software solutions tailored to meet the Client's specific needs.

Infrastructure Support:

The Service Provider will offer maintenance, troubleshooting, and optimisation services for the Client's IT infrastructure to ensure its smooth operation.

IT Solutions:

Comprehensive IT solutions will be provided, encompassing system integration, software installation, network setup, and ongoing support to address the Client’s business challenges.

IT Consultancy:

The Service Provider will offer expert consultancy services to guide the Client in planning, implementing, and managing IT strategies aligned with their business goals.

Service Level Agreement (SLA)

The performance metrics, response times, and uptime commitments will be detailed in a separate Service Level Agreement (SLA) document. This SLA will be mutually agreed upon by both Parties and will form an integral part of this Agreement.

Term

This Agreement will commence on the effective date specified in the SLA and will continue in effect unless terminated earlier in accordance with the provisions of this Agreement. Upon the expiration of the initial term, this Agreement will automatically renew for successive periods unless either Party provides written notice of termination before the end of any current term.

Fees and Payment

The Client agrees to pay the Service Provider the fees specified in a separate agreement, quotation, or as outlined in the SLA. If payment is delayed, the Service Provider reserves the right to suspend or terminate services until full payment is received.

Confidentiality

Both Parties agree to protect the confidentiality of any proprietary or confidential information exchanged during the course of this Agreement. This includes, but is not limited to, business plans, trade secrets, customer data, and other sensitive information that could reasonably be considered confidential.

Intellectual Property Ownership

All intellectual property created, developed, or utilised by the Service Provider in delivering the services will remain the exclusive property of the Service Provider, unless otherwise agreed in a separate agreement between the Parties.

Limitation of Liability

To the fullest extent allowed by law, the Service Provider’s liability for any claims or damages related to this Agreement will be limited to the total amount of fees paid by the Client to the Service Provider.

Termination

Either Party may terminate this Agreement if the other Party breaches a material term and fails to remedy the breach after receiving written notice.

Governing Law and Jurisdiction

This Agreement will be governed by and interpreted in accordance with the laws of Hong Kong. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts of Hong Kong.

Entire Agreement

This Agreement, together with our Terms and Conditions, Privacy Policy, and Cookie Policy, constitutes the entire understanding and agreement between the Parties, superseding all prior agreements, communications, and representations, whether oral or written.
